2. Description of Service

Sir Chargly provides a compliance-first surcharging platform that integrates with Stripe to enable merchants to add convenience fees to payment transactions while automatically enforcing regional regulations.

Our service includes:

• API access for calculating and applying convenience fees
• Automatic compliance checking across 35+ regions
• Merchant dashboard for managing fee configurations
• Real-time transaction reporting and analytics
• Test and live environment modes

3. Account Registration

To use Sir Chargly, you must create an account and connect a valid Stripe account. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Keeping your API keys confidential
• Notifying us immediately of any unauthorized access

4. Fees and Billing

Billing Terms: Platform fees are billed monthly in arrears. Payment is processed automatically using your connected payment method. Failed payments may result in service suspension.

Refunds: Platform fees for refunded transactions are credited back to your account in the following billing cycle.

5. Acceptable Use

You agree not to use Sir Chargly to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Process fraudulent or unauthorized transactions
• Circumvent our compliance checks or regional restrictions
• Attempt to gain unauthorized access to our systems
• Use the service for illegal or prohibited goods/services

We reserve the right to suspend or terminate accounts that violate these acceptable use policies.

6. API Usage and Limits

API usage is subject to rate limits to ensure service stability. Current limits:

• 100 requests per second per API key
• 10,000 requests per hour per account

Exceeding these limits may result in temporary throttling. Contact us if you need higher limits for your use case.

7. Intellectual Property

Sir Chargly and its original content, features, and functionality are owned by Sir Chargly Inc. and are protected by international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use our API and services for your business purposes in accordance with these terms.

8. Liability and Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While we strive to ensure compliance with regional regulations, you are ultimately responsible for ensuring your use of convenience fees complies with applicable laws. We recommend consulting with legal counsel for your specific situation.

IN NO EVENT SHALL SIR CHARGLEY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.

9. Data and Privacy

Your use of Sir Chargly is also governed by our Privacy Policy. We collect and process data necessary to provide our services, including transaction data and API usage metrics.

We implement industry-standard security measures to protect your data. However, no method of transmission over the internet is 100% secure.

10. Termination

You may terminate your account at any time through the dashboard settings. We may suspend or terminate your account if you violate these terms or for any reason with 30 days' notice.

Upon termination, your right to use the service will immediately cease. You will remain responsible for any fees accrued prior to termination.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the dashboard. Continued use of the service after changes constitutes acceptance of the updated terms.
